Terms & Conditions

Please read these Conditions carefully before making an investment via the Platform. By proceeding, you agree to these Conditions. If you do not accept them, you cannot invest.

1. Interpretation

1.1 Definitions:

• • Business Day: A day other than Saturday, Sunday, or public holiday in England.

  • Conditions: These terms as amended in accordance with clause 14.1.

  • Contract: The contract between you and Your VC for facilitating investment transactions.

  • Control: As defined in Section 1124 of the Corporation Tax Act 2010.

  • Your VC: Your VC Ltd (No. 15940896), Seebeck House, Milton Keynes. “Us,” “Our,” or “We” refers to Your VC.

  • Force Majeure Event: Any event beyond reasonable control (strikes, disasters, war, network failures, etc.).

  • High Net Worth Investor / Sophisticated Investor / Vulnerable Investor: Defined by FCA rules.

  • Investee: Person or entity submitting an Investment Proposal.

  • Investment / Investment Proposal / Investment Agreements / Investment Sum / Investment Target: As defined above.

  • Investor Details / Investor Representative / Nominee / Payment / Platform / Services / Website / Website Terms of Use: As defined above.

  • You / Your / Potential Investor: Any person intending to invest via the Platform.

1.2 Singular includes plural and vice versa; gender-inclusive.

1.3 “Person” includes individuals, firms, corporations, associations, partnerships.

1.4 References to statutes include amendments and subordinate legislation.

1.5 Words like “including” or “for example” are illustrative, not limiting.

1.6 Headings are for convenience only.

1.7 “Writing” or “written” includes email.

2. Categorisation of Investor

2.1 Confirm investor status during registration. Notify us if uncertain at info@yourvc.co.uk.

3. Nature of this Contract

3.1 Contract is between you and us. Terms of investment set out in Investment Agreements.

3.2 Investments and information are not public offers; you must register first.

4. Our Services

4.1 Services provided with reasonable skill and care; platform availability not guaranteed.

4.2 Internet or network risks are acknowledged; Your VC accepts no liability for disruption.

5. Risk Management

5.1 Your VC does not give financial advice. Obtain independent advice.

5.2 All Investments are at your risk; refer to the risk page on the Website.

5.3 No guarantee of EIS/SEIS or tax benefits.

5.4 Ensure adequate estate planning.

5.5 Notify us if your circumstances make you vulnerable.

6. Registration Process

6.1 Registration required to submit applications.

6.2 Provide accurate Investor Details; update as necessary.

6.3 Must be 18+ and UK resident.

6.4 Applications reviewed for AML compliance; approval email confirms registration.

7. Nominee

7.1 Investments held via a Nominee on trust for you.

7.2 Nominee administers investments per declaration of trust.

7.3 Nominee follows your instructions, or in absence, Your VC recommendations.

8. Remuneration

8.1 Currently, fees charged to Investee, not investors.

8.2 Future fees require 3 months’ notice; you may terminate within notice period.

9. Investment

9.1 Applications allowed only after successful registration.

9.2 Investment Proposal remains live during investment period.

9.3 You may withdraw prior to end of investment period.

9.4 If target reached, you become party to Investment Agreements; if not, application cancelled.

9.5 Payments made to FCA-registered receiving agents; pooled non-interest bearing account.

9.6 Investment Agreements set full terms; all investments at your risk.

10. Liability

10.1 Liability cannot exclude death, injury, or fraud.

10.2 Not liable for indirect, consequential losses.

10.3 Total liability limited to Investment Sum.

10.4 Force majeure exempt.

10.5 All implied warranties excluded.

11. Termination & Effect of Termination

11.1 Right to cancel within 14 days after payment of Investment Sum.

12. Complaints

12.1 Contact us at registered office.

12.2 Complaints may also be made to UK Financial Ombudsman Service.

13. Notices

13.1 Notices must be in writing and delivered personally, by post, or email.

13.2 Deemed received based on delivery method.

13.3 Proof of service: post or email records.

14. General Terms

14.1 Conditions may be amended; check top of page.

14.2 Conditions in force at time of order govern Contract.

14.3 No partnership or joint venture established.

14.4 Acting on own behalf only.

14.5 Your VC may transfer rights and obligations.

14.6 You may transfer only with written consent.

14.7 Only Nominee (if used) has third-party rights.

14.8 Invalid paragraphs do not affect remainder.

14.9 Failure to enforce does not waive rights.

14.10 These Conditions, Privacy Policy, Website Terms of Use constitute entire agreement.

14.11 Governed by English law.

14.12 Courts of England and Wales have non-exclusive jurisdiction.
